Terms of Service

Admin-IQ (the "Site") is operated by Secure Text App, LLC., a Pennsylvania corporation doing business as TAS Technologies Group ("TAS Technologies Group", "we", "us"). The Site is the self-service portal through which our clients manage the services they buy from us.

We grant you the right to use the Site subject to the terms below (the "Terms"). Your use of the Site is also governed by our Privacy Policy.

These Terms are a legally binding agreement, and you accept them by accessing or using the Site. Do not use the Site if you are not of legal age to form a binding contract, or if the law where you are prohibits you from using it.

Most people reach the Site on behalf of an employer. If you do, you represent that you are authorised to accept these Terms on that organisation's behalf and to bind it to them. If you do not agree with all of these Terms, do not use the Site.

We may change these Terms at any time. Using the Site after a change means you accept the changed Terms. We may also modify, suspend or discontinue the Site, or any part of it, at any time and without notice.

You may use the Site to administer the services your organisation buys from TAS Technologies Group, to be invited to and take part in an account belonging to one of our clients, or to evaluate our services as a prospective client or partner. You may not use it to compete with us.

Access to an account is granted by us or by an owner of that account, and it is scoped: what you can see and change depends on the role you hold and on the services enabled for that account. Nothing on the Site entitles you to a service your organisation has not bought.

In addition to the other limits in these Terms, you agree not to:

• use data mining, robots, scrapers or similar automated methods against the Site;
• interfere with the operation of the Site or with anyone else's use of it;
• place an unreasonable load on the Site or the networks behind it;
• breach, or attempt to breach, the security of the Site;
• access any account, data or part of the Site you have not been granted access to, or attempt to reach another client's information;
• use the Site for anything illegal, anything these Terms prohibit, or anything outside the purpose it is provided for;
• infringe our rights or anyone else's, or encourage anyone else to; or
• submit through the Site any unlawful, threatening, harassing, abusive, defamatory, obscene or otherwise inappropriate content, any unsolicited bulk or commercial messages, or any virus, worm or other code intended to harm a network, computer or device.

Where the Site is used to administer a messaging service, you remain responsible for complying with the law and with carrier rules that apply to the messages that service sends on your behalf.

You agree to give accurate information about yourself and to keep it current. You are responsible for everything that happens under your account, and for keeping your sign-in credentials secret.

Tell us immediately at support@tastechgroup.com if you believe your credentials have been compromised or your account has been used without your authorisation. Tell us as well when something changes that affects your account or how we reach you — people leaving, email addresses changing, telephone numbers changing. You may be held responsible for losses that follow from a failure to keep your account secure.

An account must keep at least one owner. If you are the last owner of an account, you cannot remove or demote yourself; ask us and we will help you hand it over.

The Site is a business tool, intended for use by adults acting for an organisation. It is not directed to children, we do not knowingly collect information from children, and it should not be used by anyone under 18.

We cannot guarantee anyone's safety, but we would like to know when something goes wrong. If you receive threatening, harassing, abusive or otherwise inappropriate content through the Site, send a short description to support@tastechgroup.com.

Unless stated otherwise, everything that makes up the Site — text, graphics, images, icons, designs, software, code, and the selection, arrangement and look and feel of all of it (the "Content") — is protected by copyright, trademark, trade dress, patent and other intellectual property laws. Using the Content without authorisation may break those laws as well as these Terms.

Except where these Terms say otherwise, we grant you no express or implied right to use the Content. You agree not to copy, reproduce, republish, frame, download, transmit, modify, display, reverse engineer, sell, rent, lease, loan, assign, distribute, license, sublicense or otherwise exploit the Content, the Site or any related software, in whole or in part, or to create derivative works from any of it.

The data your organisation puts into the services we operate for you remains yours. These Terms give us no ownership of it.

If you believe material on the Site infringes your copyright, write to our designated agent with: a signature of the person authorised to act for the copyright owner; a description of the work you say has been infringed; a description of the material you say is infringing and where it is on the Site; your address, telephone number and email address; a statement that you believe in good faith that the use is not authorised by the copyright owner, its agent or the law; and a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorised to act.

You agree to defend, indemnify and hold harmless TAS Technologies Group and its officers, shareholders, predecessors, successors in interest, directors, employees, agents, subsidiaries, affiliates, licensors and suppliers from any claim, charge, complaint, damage, loss, liability, cost or expense (including attorneys' fees) arising out of or relating in any way to your use of, or access to, the Site.

To the extent permitted by applicable law, your use of the site is at your sole risk. The site is provided "as is" and "as available", with all faults and without warranty of any kind, and we disclaim all warranties and conditions, express, implied or statutory, including the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment and non-infringement of third party rights.

We do not warrant that the site will meet your requirements, that it will be uninterrupted or error-free, that defects will be corrected, or that it will work with any third party software or service. No information or advice given by us or a representative creates a warranty. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above may not apply to you.

The site is not intended or suitable for use in any situation where a failure, delay, error or inaccuracy could lead to death, personal injury, or severe physical or environmental damage.

Except where prohibited by law, TAS Technologies Group and its officers, shareholders, predecessors, successors in interest, directors, employees, agents, subsidiaries, affiliates, licensors and suppliers will not be liable for any direct, indirect, special, punitive, incidental, exemplary or consequential damages resulting from the use of, or inability to use, the Site, from the performance of the Site, or from the conduct of other users of the Site — even if we have been advised that such damages are possible.

You take full responsibility for your use of the Site, and your only remedy for dissatisfaction with it is to stop using it. If, despite the above, we are found liable to you for anything arising out of or connected with your use of the Site, our liability will not exceed $100 US Dollars.

You also agree that you will not join a claim against us with the claim of any other person or entity in a lawsuit, arbitration or other proceeding; that no claim you have against us will be resolved on a classwide basis; and that you will not bring a claim in a representative capacity on anyone else's behalf.

These limits apply to the Site. They do not displace the terms of any separate written services agreement between your organisation and TAS Technologies Group; where that agreement and these Terms conflict, that agreement governs.

These Terms are construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions. Any dispute arising under them will be resolved exclusively in the state or federal courts of the Commonwealth of Pennsylvania, County of Bucks. If a court of competent jurisdiction finds any provision unenforceable, the rest continues in full force.

Any notice under these Terms must be in writing. Notices to us go by personal delivery, registered or certified mail (return receipt requested, postage prepaid) or commercial express courier (with written verification of receipt) to TAS Technologies Group, 78 N. Pennsylvania Ave, Morrisville, PA 19067, U.S.A., Attention: General Counsel.

For contractual purposes you consent to receive communications from us electronically. Notices to you go to the address on your account, by the same means. A notice is deemed given when delivered personally; 24 hours after email is sent, unless we are told the address is invalid; five days after registered or certified mail is sent, or ten days for international mail; or one day after deposit with a commercial express courier specifying next-day delivery, or two days for international 2-day delivery. Either party may change its address for notice by notifying the other.

The parties agree that a material breach of these Terms affecting our intellectual property rights in the Site may cause irreparable injury for which money is not an adequate remedy, and that we are entitled to equitable relief — without having to post a bond — in addition to any other remedy available to us.
